Job Summary

 

Provides legal services to GuideStone Financial Resources and its affiliates with a primary focus on legal considerations related to investment products and services. This position will focus on a number of complex legal issues and encompasses fiduciary responsibility pertaining to registered investment companies, registered investment advisers, and investment-related activities conducted in accordance with applicable church and charitable organization exemptions. This position will also support a number of corporate functions in the areas of governance, investment-related litigation, contracts and other areas of legal support for the enterprise.

 

The incumbent will work closely with the Investment areas (such as portfolio management, administration/operations and compliance) in support of enterprise and ministry objectives, and will function as a legal resource and support for those areas. By reporting to the Managing Director, Compliance, Legal & Risk Management at GuideStone Financial Resources, this position will also facilitate consideration and coordination of such issues within the broader legal and risk management framework of the GuideStone corporate structure. In performing responsibilities, the incumbent will work directly with outside attorneys, management and other employees and interact with regulators and external clients as necessary or appropriate. 

 

This position requires a solid foundation of legal research and analytical skills and the ability to identify and determine avenues of resolution for legal and business issues that impact GuideStone and its affiliates, including but not limited to the investment products and services it provides for ministry partners and members. 

 

What You'll Do

 

  • Provide legal advice and counsel on matters involving GuideStone’s role as a fiduciary and/or service provider for various investment-related activities and programs.

  • Advise on complex legal issues related to registered investment companies, registered investment advisers, and investment-related activities conducted within applicable church and charitable organization exemptions.

  • Support corporate functions in governance, investment-related litigation, contracts, and other legal areas for the enterprise.

  • Identify and resolve legal and business issues impacting GuideStone and its affiliates, including compliance with relevant laws, regulations, and industry standards.

  • Conduct legal research, analyze findings, and make recommendations to support decision-making processes.

  • Coordinate with business units to analyze, evaluate, and implement legal developments impacting investment practices, products, and services.

  • Draft and review legal documents, including corporate resolutions, procedures, contracts, and agreements to ensure compliance and adherence to legal standards.

  • Evaluate legal due diligence reviews by a consultant on private markets funds and managers (e.g., private equity, private credit, and private real estate funds) to mitigate legal risk.

  • Present to Boards and Committees on areas of subject matter expertise.

  • Participate in the development of new investment products and services to promote compliance with applicable law and regulation

  • Identify, assess, and manage legal risk applicable to GuideStone’s investment-related businesses

  • Manage matters submitted to outside counsel

 

What You'll Need

 

Educational

  • Juris Doctor (JD) and/or Master of Laws (LLM) from an accredited law school

 

Technical Knowledge and Skills

  • Legal knowledge; legal research and analysis; writing and problem-solving; and clear and concise verbal and written communication skills are key. 

 

Job Knowledge and Skills

  • A minimum of 8 years legal experience with exposure to securities and other investment-related matters.

  • General legal knowledge regarding mutual funds and investment advisers with particular familiarity with the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the SEC rules thereunder.

  • Familiarity with legal due diligence reports, private placement memoranda, limited partnership and subscription agreements, prospectuses, and shareholder reports.

  • Must have a firm foundation of legal knowledge and skills and the ability to identify, articulate and address successfully the broad range of legal and business concerns that impact GuideStone’s investment program and various investment activities. 

  • Ability to function as an integral and participatory part of the Investments team. 

  • Ability to analyze a high volume of technical material effectively and efficiently is essential.  Ability to adapt to changing demand and project needs and meet applicable deadlines is also vital.

  • Must be able to utilize independent judgment and initiative within the framework of GuideStone’s ministry objectives and applicable legal requirements.

  • Must possess well-developed interpersonal skills and communication skills (written and oral) to assist a wide range of persons from those with substantial experience and expertise in legal and technical matters to those with little or no familiarity with complex legal issues or terminology

  • Ability to relate in a positive and productive manner to  trustees, directors and officers and to all levels of internal staff as well as outside attorneys and consultants

  • Ability to use Microsoft 365 and other third-party legal, governance, risk and compliance technology solutions

  • Must have complete confidentiality regarding GuideStone business matters.

  • Occasional travel to continuing legal education events, board meetings, consultation with outside counsel and other possible meetings with regulatory agencies (estimated to be less than 10% of overall time)

 

License Required: Licensed attorney with State Bar of Texas
